Professional OEM/ODM Manufacturing Agreement for Industrial Computing Hardware

Important Notice

These Terms of Service govern all B2B transactions between Inyuda and professional buyers including brand owners, commercial display manufacturers, and hardware distributors. By placing an order or engaging in business with us, you agree to these terms.

1. Business Scope & Eligibility

Inyuda specializes in professional OEM/ODM manufacturing of OPS slot PCs, industrial motherboards, and industrial touch panel PCs. Our services are exclusively available to qualified business entities.

Eligible Customers:

  • Registered companies with valid business licenses
  • Brand owners requiring private-label manufacturing
  • Commercial display manufacturers and system integrators
  • Hardware distributors and trading companies

We do not sell to individual consumers or non-commercial buyers. All transactions require formal business documentation and verification.

2. Order Process & Requirements

2.1 Quotation & Inquiry

All orders begin with a formal quotation request. Please provide detailed specifications including CPU generation, memory capacity, storage requirements, I/O interfaces, and quantity needed.

Our technical team will respond within 24 hours with pricing, lead time, and technical feasibility assessment.

2.2 Minimum Order Quantity (MOQ)

  • Standard Products: MOQ varies by model, typically 10-50 units
  • Custom OEM/ODM: MOQ 50-100 units for first order
  • Bulk Orders: Volume discounts available for 500+ units

2.3 Order Confirmation

Orders are confirmed only after receipt of signed purchase order and deposit payment. Verbal agreements or email inquiries do not constitute binding orders.

3. Pricing & Payment Terms

3.1 Pricing Policy

All prices are quoted in USD and valid for 30 days from quotation date. Prices are subject to change based on component market fluctuations, especially Intel CPU and memory pricing.

Custom OEM/ODM projects require separate quotation including tooling, R&D, and certification costs.

3.2 Payment Schedule

Standard Orders
  • 50% Deposit upon order confirmation
  • 50% Balance before shipment
Custom OEM/ODM
  • 60% Deposit for R&D and tooling
  • 30% Upon prototype approval
  • 10% Before mass production shipment

3.3 Payment Methods

We accept T/T (bank wire transfer), L/C (Letter of Credit for large orders), and PayPal (for orders under $5,000). All banking fees are borne by the buyer.

4. Manufacturing & Quality Control

4.1 Production Standards

All products are manufactured in our Foshan and Guangzhou facilities using industrial-grade components including Intel official chipsets and Foxconn standard sockets.

Quality Assurance Process:
  • 100% incoming material inspection (IQC)
  • In-process quality control (IPQC) at each assembly stage
  • 24-hour aging test for all finished units
  • Final outgoing quality control (OQC) and random sampling

4.2 Defect Rate Standard

Our production defect rate is maintained below 2%. Any batch exceeding this threshold will be subject to full inspection and rework at our expense.

4.3 Lead Time

  • Standard products in stock 3-7 days
  • Standard products (build-to-order) 15-25 days
  • Custom OEM/ODM (after prototype approval) 30-45 days
  • Bulk orders (500+ units) 45-60 days

5. Shipping & Delivery

5.1 Shipping Methods

We support multiple shipping options including air freight, sea freight, and express courier (DHL, FedEx, UPS). Shipping costs are calculated separately based on destination and urgency.

5.2 Incoterms

We support FOB, CIF, and DDP terms. Default shipping term is FOB Shenzhen/Guangzhou. Buyers are responsible for customs clearance and import duties unless DDP terms are agreed.

5.3 Packaging

All products are packaged in industrial-grade cartons with anti-static foam protection. Custom branded packaging is available for OEM/ODM orders at additional cost.

6. Warranty & Returns

6.1 Standard Warranty

All products carry a 12-month limited warranty from date of shipment, covering manufacturing defects and component failures under normal operating conditions.

  • Extended 24-month warranty available for volume orders (500+ units)
  • Warranty covers replacement parts and repair labor
  • Return shipping costs for warranty claims are shared 50/50

6.2 Warranty Exclusions

The warranty does not cover:

  • × Physical damage, liquid damage, or misuse
  • × Unauthorized modifications or repairs
  • × Operation outside specified environmental conditions
  • × Normal wear and tear of consumable parts

6.3 Return Policy

Returns are accepted only for defective products within 7 days of delivery. All returns require prior authorization (RMA number) from our technical support team.

Custom OEM/ODM products are non-returnable unless manufacturing defects are proven. Restocking fees (15-25%) apply to cancelled standard orders after production begins.

6.4 DOA (Dead on Arrival) Policy

Units confirmed as DOA within 48 hours of delivery will be replaced at no charge. Buyer must provide photographic evidence and detailed failure description.

7. Intellectual Property & Confidentiality

7.1 Custom Design Ownership

For OEM/ODM projects, intellectual property rights depend on the development agreement:

  • Full ODM: Customer owns all design rights upon full payment of development fees
  • Semi-Custom: Inyuda retains base platform rights; customer owns unique modifications
  • White-Label: Inyuda retains all design rights; customer receives branding license

7.2 Trademark & Branding

Customers may apply their own logos and branding to products. Inyuda will not use customer trademarks without explicit written permission. Customers must provide trademark authorization documents for custom branding.

7.3 Confidentiality

Both parties agree to maintain confidentiality of:

  • Technical specifications and product designs
  • Pricing information and commercial terms
  • Business strategies and market plans

Confidentiality obligations remain in effect for 3 years after contract termination.

8. Liability & Limitations

8.1 Limitation of Liability

Inyuda's total liability for any claim arising from product defects, delays, or other issues shall not exceed the total purchase price paid for the affected products.

We are not liable for indirect, consequential, or incidental damages including lost profits, business interruption, or data loss.

8.2 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, government actions, pandemics, component shortages, or transportation disruptions.

8.3 Component Availability

Industrial computing hardware depends on third-party components (Intel CPUs, memory modules, etc.). In case of component shortages or discontinuation:

  • We will notify customers immediately and propose alternative solutions
  • Customers may accept substitutions or cancel orders without penalty
  • Extended lead times may apply during global component shortages

9. Compliance & Certifications

9.2 Export Compliance

Customers are responsible for ensuring compliance with all applicable import/export regulations in their jurisdictions. Inyuda will provide necessary documentation including commercial invoices, packing lists, and certificates of origin.

9.3 Environmental Responsibility

We comply with RoHS, WEEE, and REACH directives. All products are manufactured using environmentally responsible processes and recyclable materials where possible.

10. Dispute Resolution

10.1 Negotiation

Any disputes arising from these terms shall first be resolved through good-faith negotiation between authorized representatives of both parties.

10.2 Arbitration

If negotiation fails, disputes shall be submitted to arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) in Guangzhou, China. Arbitration decisions are final and binding.

10.3 Governing Law

These Terms of Service are governed by the laws of the People's Republic of China, excluding its conflict of law provisions.

11. Modifications & Updates

Inyuda reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website with a revised "Last Updated" date.

Existing orders will be governed by the terms in effect at the time of order confirmation. New orders placed after modifications will be subject to updated terms.

Customers are encouraged to review these terms periodically. Continued business engagement after modifications constitutes acceptance of updated terms.
